Terms of Service
1) Acceptance
These Terms of Service ("Terms") govern your use of Tizz. By using Tizz you agree to these Terms.
2) Definitions
- Customer Data means all personal data which you provide to Tizz in connection with these Terms.
- User Content means any data, information, or content that you import, upload, sync, or otherwise provide through our platform.
- Third-Party Services means external platforms (Google, Microsoft, Zoho, etc.) that you choose to integrate with Tizz.
- Personal Data means any information relating to an identified or identifiable natural person as defined by applicable data protection laws.
3) Eligibility
Tizz is intended for organizational or business use. You must have authority to bind your organization. You are responsible for maintaining account security.
4) Subscriptions and Trial
- Subscriptions renew monthly unless canceled.
- A 30-day free trial may be offered. Billing begins once the trial ends unless canceled before expiration.
- Payments are handled by third-party providers (e.g., Stripe). Taxes may apply.
- Plan changes follow the billing provider's rules; proration may apply.
- Fees are non-refundable, except where consumer protection or other applicable laws require otherwise.
5) Acceptable Use
- No disruption, misuse, or unauthorized access to Tizz or third-party systems.
- No unlawful, infringing, or harmful content stored or transmitted through Tizz.
- You must comply with provider terms (Google, Microsoft, Zoho, or others).
6) Third-Party Integrations and User Content
When you authorize integrations (Google, Microsoft, Zoho, or others), you agree to their terms. Access can be revoked at any time from Tizz or the provider's settings. Tizz is not responsible for availability or changes of third-party services.
Your Responsibilities for User Content
- You are solely responsible for all User Content you import, sync, or upload to our platform
- You warrant that you have all necessary rights, permissions, and authority to use and sync the User Content
- You ensure compliance with all applicable laws and third-party service terms regarding your User Content
- You are responsible for the accuracy, legality, and appropriateness of all imported data
Tizz's Role
- Tizz acts solely as a technical facilitator for data synchronization between your authorized services
- We do not review, monitor, verify, or take responsibility for the content of imported data
- We are not liable for any issues arising from your User Content or its synchronization
- Any disputes regarding User Content are between you and the relevant third-party service providers
7) Intellectual Property
All rights, title, and interest in Tizz remain with Tizz and its licensors. You receive a limited, non-exclusive license to use Tizz during your subscription.
You retain all rights to your User Content. By using our services, you grant Tizz a limited license to process and sync your User Content solely to provide the requested synchronization services.
8) Service Levels
Tizz aims to provide reliable and continuous access to the platform with a baseline target of 99.5% monthly uptime. This is an aspirational target only and does not constitute a binding service level guarantee, unless a separate written service level agreement applies (e.g., for Enterprise customers). Planned maintenance will be communicated in advance when practicable.
9) Privacy
Your use of Tizz is subject to our Privacy Policy.
10) Disclaimers
The service is provided "as is." We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
We specifically disclaim any responsibility for the accuracy, completeness, or legality of User Content. We make no warranties regarding data imported from third-party services.
11) Limitation of Liability
To the extent permitted by law, neither party is liable for indirect or consequential damages. Liability is limited to fees paid in the 12 months preceding the claim, except where liability cannot be limited under applicable law, including for gross negligence, willful misconduct, or data misuse or intellectual property infringement. Tizz acknowledges that enterprise customers may consider this cap low, but it forms part of the agreed risk allocation under these Terms.
Tizz is not liable for any issues, disputes, or damages arising from User Content, including but not limited to data accuracy, compliance violations, or third-party claims related to imported data.
12) Indemnification
You agree to indemnify, defend, and hold harmless Tizz, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Tizz in violation of these Terms; (b) your User Content, including any alleged infringement or violation of third-party rights; or (c) your breach of applicable laws or third-party service terms. This indemnification obligation applies to all customers, including small business users.
13) Termination
We may suspend or terminate access for breach, non-payment, or legal compliance. You may cancel at any time. Upon termination, we delete data per our retention policy.
14) Governing Law and Dispute Resolution
These Terms are governed exclusively by the laws of the province of Ontario, Canada. Any dispute shall first be attempted to be resolved amicably through negotiation. If unresolved, disputes shall be submitted to binding arbitration in Toronto, Ontario, Canada, under the rules of the Arbitration Act (Ontario). Notwithstanding the foregoing, either party may seek injunctive relief in the competent courts of Ontario. Tizz does not offer consumer contracts subject to mandatory EU or other foreign consumer protection regimes.
15) Changes
We may update these Terms. Continued use after the effective date indicates acceptance of changes.
